Project Aria Pilot Dataset License Agreement
Before you access or use the Project Aria Pilot Dataset (the “Dataset”) made available by Meta Platforms Technologies, LLC (“Meta”) please read the following Dataset License Agreement (“Agreement”). By accessing or using the Dataset, you agree to be bound by this Agreement. If you don’t agree to be bound by this Agreement, do not use the Dataset.
You hereby agree to the following terms and conditions:
1. Use of the Dataset
a. You may only use the Dataset for you or your organization’s personal use to conduct non-commercial research in the fields of action recognition, scene understanding, human-object interaction, human understanding, audio-visual diarization, action forecasting, scene reconstruction, & camera localization & mapping, to the extent that you are acting within your usual trade, business, craft or profession. Non-commercial research means research that is not primarily intended for or directed toward commercial advantage or private monetary compensation. For example, you may not use the Dataset to develop any product that is currently (or that you intend to make or that becomes) available for any commercial use.
b. You may use the Dataset for purposes within the scope of your employment, including employment at a for-profit or commercial entity, only if your use is permitted by Section 1. If you use the Dataset within the scope of your employment, you will ensure your employer is also bound by the Agreement. You hereby represent that you are fully authorized to enter into this Agreement on behalf of any such employer.
2. Publication of Research
You may publish observations, commentary, analysis and summaries of the non-commercial research you carried out in accordance with Section 1. Unless Meta requests that you not provide attribution, any publication under this Section 2 must include an attribution to Meta, which includes the following attribution statement: “Project Aria Pilot Dataset, Meta Reality Labs-R”. You may not use any trademarks of Meta (including logos), other than those contained in the attribution statement, in connection with your publication.
3. Prohibited Activities
You will not, without receiving the prior written permission of Meta from projectaria@fb.com, make any use of the Dataset other than as expressly permitted in Section 1. Without limiting the forgoing, you will not, and will not attempt to, (i) distribute any of the Dataset or materials or works derived from the Dataset, (ii) publicly display or perform any of the Dataset or materials or works derived from the Dataset, (iii) use the Dataset or materials or works derived from the Dataset in any manner that violates applicable law, or (iv) use the Dataset or materials or works derived from the Dataset to determine or infer personal information about any individual (e.g., identifying individuals depicted in the Dataset). The foregoing prohibitions are not intended to restrict the right to publish in accordance with Section 2.
4. Disclaimer
THE DATASET IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT.
IN NO EVENT SHALL META, A META AFFILIATE (AS DEFINED BELOW) OR ANY CONTRIBUTOR BE LIABLE FOR ANY CLAIMS, LOSS, DAMAGES OR OTHER LIABILITIES, INCLUDING WITHOUT LIMITATION FOR ANY DIRECT INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, PUNITIVE OR SPECIAL DAMAGES OR LOST PROFITS, WHETHER IN AN ACTION OF CONTRACT, TORT (INCLUDING NEGLIGENCE), BREACH OF STATUTORY DUTY OR OTHERWISE, EVEN IF FORESEEABLE, ARISING FROM, OUT OF OR IN CONNECTION WITH THE DATASET OR THIS AGREEMENT.
THE LIMITATIONS ON LIABILITY SET FORTH IN THIS SECTION 4 WILL NOT LIMIT OR EXCLUDE LIABILITY FOR DEATH, PERSONAL INJURY, THE GROSS NEGLIGENCE, FRAUD, FRAUDULENT MISREPRESENTATIONS OR INTENTIONAL MISCONDUCT OF META OR FOR ANY OTHER MATTERS IN WHICH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
You acknowledge and agree that any use of the Dataset permitted under this Agreement is solely for the purpose of research and that no particular results can be assured.
5. Feedback
You may voluntarily provide us with comments, suggestions, ideas or other materials about or relating to the Dataset, Project Aria or any other related topic (collectively, “Feedback”) by contacting projectaria@fb.com. Meta shall have a worldwide, irrevocable, sub-licensable, transferable right to use, store, copy, reproduce, distribute, publish and otherwise exploit such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you, and Meta may treat Feedback as nonconfidential.
6. Indemnification
You shall indemnify, defend and hold harmless Meta and any entity that controls, is controlled by, or is under common control with Meta, directly or indirectly (its “Affiliates”) (and their respective officers, directors, employees, agents, and contractors) from and against any and all third-party claims, losses, liabilities, damages, expenses and costs (including attorneys’ fees) arising from or related to your use of the Dataset or exercise of any rights granted to you under this Agreement or any actual or alleged breach of this Agreement by you.
7. Termination
Your right to use the Dataset under Section 1 will automatically terminate upon (a) any breach by you of this Agreement or (b) any notice to you from Meta that your right to use the Dataset is terminated. Upon termination of your right to use the Dataset under Section 1, you must delete any copy of the Dataset and any works based on or created using the Dataset in your possession or control.
8. Choice of Law and Venue
This Agreement and all matters arising from, out of or in connection with the Dataset or this Agreement will be construed in accordance with the laws of the State of California without regard to conflicts of laws principles. All claims arising out or related to this Agreement or the Dataset will be brought solely in the U.S. District Court for the Northern District of California or a state court located in San Mateo County unless otherwise prohibited by the laws of your jurisdiction, and you hereby consent to the exclusive jurisdiction of such state and federal courts and waives any defense of forumnon conveniens.
9. Miscellaneous
This Agreement does not grant you any right to use the Meta trademarks other than in connection with providing an attribution required by Section 2, and you may not use the Meta trademarks to state or imply that your use of the Dataset constitutes any endorsement by or partnership with Meta. You may not assign this Agreement or any of your rights, title or interest under this Agreement (voluntarily, involuntarily, by operation of law or otherwise) without the prior written consent of Meta. Any attempted assignment in violation of the foregoing will be void. This Agreement constitutes the entire agreement, and supersedes any and all prior agreements, between you and Meta with respect to its subject matter. In this Agreement, (a) references to “including” will be interpreted to mean “including but not limited to” and (b) any examples provided are illustrative and not intended to be the sole examples of a particular concept.” For inquiries about commercial use of the Dataset, contact projectaria@fb.com.
